These Terms & Conditions ("Terms") govern your access to and use of the platform, website, and services made available at https://dashboard.appstra.zerostic.com (the "Platform") by Zerostic — a sole proprietorship firm (Proprietor: Jayant Anand Jha) ("AppStra", "we", "us", "our"). By registering for, accessing, or using the Platform you ("you", "User") agree to these Terms. If you do not agree, do not use the Platform.

1. Nature of the service

AppStra provides a software platform for the distribution of research/trade communications, subscription management, client management, and related compliance tooling for research analysts and advisory firms and their clients.

The Platform is a technology service. Except where AppStra is itself a SEBI-registered Research Analyst (see §2), AppStra does not provide investment advice, does not issue trade recommendations, and is not responsible for the content, accuracy, suitability, or outcome of any research, trade call, or advice distributed through the Platform. Such content is created and published solely by the research analyst / advisory firm operating on the Platform ("the Analyst").

2. Research analyst status & investment-risk disclaimer

AppStra is a technology platform and is not a SEBI-registered Research Analyst. AppStra does not provide investment advice, does not issue trade recommendations, and does not guarantee any returns. All research, trade calls, and advice made available through the Platform are created and published by the independent research analyst / advisory firm ("the Analyst") operating their own workspace, who is solely responsible for that content and for their own SEBI registration, disclosures, and compliance.

3. Eligibility & accounts

• You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
• You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your login credentials. You are responsible for all activity under your account.
• AppStra may refuse, suspend, or terminate accounts for breach of these Terms, suspected fraud, non-payment, or as required by law.

4. Subscriptions, fees & billing

• Access to certain features is provided on a subscription basis. Applicable plans, features, and prices (in Indian Rupees, INR / ₹) are set out on the pricing page at https://dashboard.appstra.zerostic.com and may be updated from time to time.
• Fees are billed in advance for the subscription period selected. Subscriptions may renew as described at the point of purchase; you may cancel future renewals as described in §5 and in the Refunds & Cancellations Policy.
• Payments are processed by our third-party payment gateway (Cashfree Payments). By making a payment you also agree to the payment gateway's terms. AppStra does not store your full card, bank, or UPI credentials.
• Taxes (including GST) apply as required by law and, where applicable, are shown at checkout.

Platform economics (AppStra deployments)

Where AppStra is the platform operator (AppStra): AppStra charges 0% commission on money that flows between an Analyst and their clients. AppStra's charges consist solely of (a) the Analyst's platform subscription and (b) a per-active-client seat fee (a software charge, not a share of the transaction). Money paid by a client to an Analyst settles to the Analyst through the licensed payment gateway's split-settlement facility.

5. Cancellation

You may cancel your subscription or stop future renewals at any time from your account settings or by contacting us. Cancellation stops future billing; access continues until the end of the paid period. Refunds, where applicable, are governed by the Refunds & Cancellations Policy.

6. Acceptable use

You agree not to: (a) use the Platform for any unlawful purpose or in breach of SEBI regulations or other applicable law; (b) distribute content you are not authorised or licensed to distribute; (c) misrepresent returns, guarantee profits, or make misleading claims; (d) attempt to gain unauthorised access to the Platform, other tenants, or other users' data; (e) upload malware or interfere with the Platform's operation; (f) resell or sublicense the Platform without our written consent.

7. Content, compliance & audit

• The Analyst is solely responsible for ensuring that all communications distributed through the Platform comply with SEBI Research Analyst Regulations and all applicable law, including maintaining required records and rationale documentation.
• The Platform may apply compliance gates (for example, requiring a valid signing credential before a communication can be published) and maintains audit logs. You consent to such logging.
• Records may be retained for the periods required by applicable regulation (including SEBI record-retention requirements).

8. Third-party services

The Platform integrates third-party services (including, as applicable, Cashfree for payments, Digio for KYC/e-sign, and messaging providers for Telegram, WhatsApp, email, and SMS delivery). Your use of those features may be subject to the relevant third party's terms, and AppStra is not liable for their acts or omissions.

9. Intellectual property

The Platform, its software, and its branding are owned by Zerostic — a sole proprietorship firm (Proprietor: Jayant Anand Jha) or its licensors and are protected by law. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Platform per these Terms. Content you upload remains yours; you grant AppStra the licence needed to host, process, and deliver it to provide the service.

10. Disclaimers & limitation of liability

• The Platform is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law.
• AppStra is not liable for any trading, investment, or financial loss arising from content distributed by an Analyst, nor for losses arising from third-party service failures, network issues, or events beyond our reasonable control.
• To the maximum extent permitted by law, AppStra's aggregate liability arising out of or relating to the Platform shall not exceed the fees paid by you to AppStra in the three (3) months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold harmless AppStra, its affiliates, and personnel from claims, damages, and expenses arising from your use of the Platform, your content, or your breach of these Terms or applicable law.

12. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, legal requirement, or risk to the Platform or other users. On termination, your right to use the Platform ends; provisions that by their nature should survive (e.g. fees due, IP, liability, indemnity, governing law) survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by posting the updated Terms at https://dashboard.appstra.zerostic.com with a revised effective date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

14. Governing law & disputes

These Terms are governed by the laws of India. Subject to any mandatory dispute-resolution mechanism prescribed by SEBI for the Analyst's services, the courts at Faridabad, Haryana, India shall have exclusive jurisdiction.
